Position Summary
McWane is seeking a highly motivated and business-oriented attorney to join our Legal Department as AVP, Corporate Counsel. This role will provide legal support across a broad range of corporate matters, with a primary focus on mergers and acquisitions, strategic transactions, and corporate governance. The successful candidate will work closely with senior management and business leaders to support the Company's growth initiatives while managing legal risk and ensuring compliance with applicable laws and regulations. The position is based in Birmingham, Alabama.
The ideal candidate will have at least five years of experience advising on corporate transactions, including mergers, acquisitions, divestitures, joint ventures, and other strategic commercial arrangements. This individual should be comfortable operating in a fast-paced environment and providing practical, solution-oriented legal advice.
Requirements
Key Responsibilities
- Lead and support mergers, acquisitions, divestitures, joint ventures, and other strategic transactions from inception through post-closing integration.
- Conduct and manage legal due diligence processes and coordinate with internal stakeholders and outside counsel.
- Draft, review, negotiate, and advise on transaction documents.
- Support Corporate Secretary with corporate governance matters.
- Provide legal support for domestic and international subsidiaries and affiliated entities.
- Partner with business leaders to identify and mitigate legal risks while advancing commercial objectives.
- Manage outside counsel effectively and efficiently.
- Drive and support corporate compliance initiatives, including antitrust and international trade.
Qualifications
Required
- J.D. degree from an accredited law school.
- Licensed and in good standing to practice law in the State of Alabama.
- Minimum of 5 years of legal experience, including significant experience in general corporate law and mergers and acquisitions.
- Experience at a nationally recognized law firm, in-house legal department, or a combination of both.
- Demonstrated experience managing complex corporate transactions.
- Strong drafting, negotiation, analytical, and problem-solving skills.
Preferred
- Experience supporting manufacturing, industrial, distribution, or privately held companies.
- Experience with cross-border transactions and international business operations.
- Familiarity with corporate compliance programs and enterprise risk management.
- In-house legal experience supporting business operations and executive leadership.

Reporting Structure
This position reports to the General Counsel and works closely with executive leadership, finance, human resources, and operational teams.
